I wonder if they went for the rule variance before the BOD in case they wanted to use it and then opted to skip it when they started thinking about the practical use of the rule.

Its how life works. Get everything approved that you can just in case. If you don't use it, so be it, at least it was approved. Think about how many patents are filed each year for things that cant be or arent produced....
